This paper deals with the protected cells of s.p.a., as set forth in Articles 2447-bis ff. of the Civil Code, questioning in particular whether it is possible to establish them exclusively with contributions from third parties. The question is addressed first by considering the literal fact of the legislation, then by placing the issue on a systematic level and considering the general principles of the matter. Having answered the question in the affirmative, the paper goes on to reconstruct the rules applicable where a protected cell is established without contributions from the corporation but exclusively with contributions from third parties.
