No later than the First of January 2022, the national provisions implementing Directive (EU) 2019/771, concerning contracts for the sale of goods concluded by traders with consumers (which has replaced and repealed directive 99/44/EC, implemented in Italy by artt. 128-135 of the consumer code), must be applicable in all Member States. Within the end of this year it shall therefore entry in force the legislative decree which the italian Government has been delegated to adopt to this extent by the “Legge di delegazione europea 2019/2020”. The Essay describes and deepens critically the innovative aspects of the rules laid down by the Directive as well as the impact of their implementation in italian contract law. Great attention is further paid to the several choices the italian Government will have to make, as well to the solutions which need to be adopted in relation to the several and various aspects of b-to-c sales contracts which the directive has left to the autonomous options of the national legislators of the Member States.

Nell’esercizio della delega conferita dalla “Legge di delegazione europea 2019-2020”, entro la fine del 2021 il Governo dovrà adottare il decreto legislativo necessario per recepire la dir. UE 2019/771, recante la disciplina dei contratti di vendita mobiliare conclusi da professionisti con consumatori, la quale ha sostituito e abrogato la dir. 99/44/CE, cui danno attuazione gli artt. 128-135 c. cons. Il saggio individua ad analizza gli aspetti della fattispecie contrattuale con riferimento ai quali la direttiva UE rimette ai legislatori nazionali il compito di effettuare opzioni regolatorie, evidenziandone i profili problematici, prospettando possibili soluzioni ed approfondendo criticamente i profili di novità che connotano la disciplina cui sono destinati ad essere assoggettati i contratti di vendita mobiliare b-to-c che verranno stipulati posteriormente al 31 dicembre 2021.
